Dexelance S.p.A. announces that it has made available to the public the text of the new By-laws, as amended following the completion of the rights issue and registered with the Companies’ Register. The text of the new By-laws is available at the Company’s registered office, in the “Investors/Governance/Shareholders’-Meeting” section of the website (www.dexelance.com), as well as at the authorised storage mechanism 1Info Storage (www.1info.it).

Dexelance S.p.A., facendo seguito al comunicato stampa diffuso in data 5 giugno 2026 comunica, ai sensi dell’articolo 85 bis del Regolamento CONSOB 11971/1999, come successivamente modificato, e dell’articolo 2.6.2, comma primo, lettera a), del Regolamento dei mercati organizzati e gestiti da Borsa Italiana S.p.A., la nuova composizione del capitale sociale di Dexelance, a seguito del perfezionamento dell’aumento di capitale in opzione, a pagamento, per un controvalore complessivo di Euro 49.856.092,80 (di cui Euro 33.017.280,00 da imputarsi a capitale ed Euro 16.838.812,80 da imputarsi a sovrapprezzo) deliberato dal Consiglio di Amministrazione in data 4 maggio 2026, a valere sulla delega conferita all’organo amministrativo dall’Assemblea straordinaria degli azionisti in data 20 gennaio 2026, e i cui termini e condizioni definitivi sono stati fissati dal Consiglio di Amministrazione in data 13 maggio 2026.

Dexelance S.p.A. hereby announces that it has made available to the public the minutes of the Board of Directors’ meeting held in notarial form on 4 May 2026 and the new bylaws, by publication on the Company’s website (www.dexelance.com), and on the authorised storage mechanism 1Info Storage (www.1info.it). The minutes are also available at the registered office of the Company.
